1. Acceptance of Terms

By creating an account, accessing, or using GLINT, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and GLINT Technologies Inc.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and in such case "you" and "your" will refer to that organization.

Binding Agreement

These Terms form a binding legal contract. If you do not agree to all terms and conditions, you must immediately cease using our Service and may not create or maintain an account.

2. Definitions

For the purposes of these Terms, the following definitions apply:

"GLINT" or "Platform"

Refers to the GLINT marketplace platform, website, mobile applications, and all related services operated by GLINT Technologies Inc.

"User" or "You"

Any individual or entity that accesses or uses the GLINT platform, including buyers, sellers, and browsers.

"Verified Member"

A user who has successfully completed our KYC verification process and has been approved for full marketplace access.

"Luxury Goods"

High-end, premium items including but not limited to art, designer fashion, luxury watches, fine jewelry, collectibles, and luxury vehicles.

"Authentication"

The process of verifying the authenticity, condition, and provenance of luxury goods through expert examination and documentation.

"Escrow Service"

A secure payment holding service where funds are held by a neutral third party until transaction conditions are met.

"Transaction"

Any purchase, sale, auction, or other commercial activity conducted through the GLINT platform.

"User Content"

Any content uploaded, posted, or submitted by users, including listings, photos, reviews, messages, and profile information.

"Prohibited Items"

Items that are illegal, counterfeit, stolen, restricted, or otherwise prohibited from sale on the platform.

"Expert Review"

Professional assessment and authentication of luxury goods by qualified specialists in specific categories.

"Digital Passport"

A blockchain-based NFT certificate that serves as immutable proof of authenticity, ownership, and provenance for luxury items. Each Digital Passport contains comprehensive item information, authentication data, and transaction history stored permanently on the blockchain.

3. Description of Service

GLINT is a private, member-only marketplace platform that facilitates the buying and selling of authenticated luxury goods. Our platform serves as an intermediary connecting verified buyers and sellers in a secure, curated environment.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to use our Service. By using GLINT, you represent and warrant that you meet this age requirement.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account.

4. Know Your Customer (KYC) Requirements

To maintain the integrity and security of our marketplace, all users must complete our KYC verification process to access full marketplace features.

4.1 Required Documentation

You may be required to provide:

  • Matching name with address

Professional Company Requirements

If you are a professional company, you must also provide:

  • Registered VAT number

We use third-party verification services, including Onfido, to verify your identity. By agreeing to these Terms, you consent to identity verification checks and the processing of your personal data for this purpose.

5. Membership and Access Levels

  • Verified Members: Full marketplace access after KYC completion

5.2 Membership Approval

Full membership is subject to our approval process. We reserve the right to deny membership at our sole discretion.

6. Marketplace Rules

6.1 Listing Requirements

All items listed must be authentic luxury goods. You warrant that:

  • You own the items you list or have authorization to sell them
  • All items are authentic and accurately described
  • Items comply with applicable laws and regulations
  • You provide accurate photographs and descriptions

6.2 Prohibited Items

6.3 Listing Quality Standards and Photo Requirements

All listings must meet GLINT's quality standards to ensure the best experience for buyers and maintain marketplace integrity.

6.5 Platform, Buyer, and Seller Responsibilities

GLINT operates as a marketplace platform facilitating transactions between independent buyers and sellers. The following clearly defines the responsibilities and limitations of each party.

Platform Responsibilities

Platform Limitations:

  • No guarantee of item authenticity or condition
  • No control over seller behavior or item quality
  • No liability for transaction disputes
  • No responsibility for shipping damages or delays
  • No obligation to verify all seller claims
  • No warranty on expert authentication accuracy

Seller Responsibilities

Seller Must:

  • Guarantee item authenticity and ownership
  • • Provide accurate descriptions and photos
  • • Disclose all known defects or conditions
  • • Ship items within 3 days as promised
  • • Package items securely and appropriately
  • • Respond to buyer inquiries promptly
  • • Honor return policies and agreements
  • • Maintain KYC compliance and verification

Seller Liability:

  • Fully responsible for item authenticity
  • Liable for misrepresentation or fraud
  • Responsible for shipping damages in transit
  • Accountable for all item condition claims

Buyer Responsibilities

Buyer Must:

  • • Conduct independent research before purchasing
  • • Review all photos and descriptions carefully
  • • Ask questions before committing to purchase
  • • Inspect items thoroughly upon receipt
  • • Report issues within 2-day approval window
  • • Follow proper return procedures if applicable

Buyer Acknowledgment:

Important Legal Disclaimers

Platform Role Limitation

GLINT acts solely as an intermediary marketplace platform. We do not:

  • • Own, possess, or control listed items
  • • Participate as buyer or seller in transactions
  • • Make warranties about item authenticity
  • • Guarantee transaction outcomes
  • • Control seller or buyer actions

Transaction Independence

All transactions occur directly between independent buyers and sellers:

  • • Buyers and sellers are solely responsible for their agreements
  • • GLINT provides tools but does not control outcomes
  • • Platform fees cover services, not guarantees
  • • Users assume all transaction risks
  • • Expert opinions are not absolute guarantees

BY USING GLINT, YOU ACKNOWLEDGE AND AGREE:

  • • You understand the inherent risks in luxury goods transactions
  • • You accept full responsibility for your purchasing decisions
  • • You will not hold GLINT liable for seller misrepresentations or buyer disputes
  • • You understand that authentication services are expert opinions, not guarantees
  • • You agree to resolve disputes directly with the other party or through legal channels

7. Transactions and Payments

7.1 Payment Processing

We use Stripe for payment processing. All transactions are subject to Stripe's terms of service and applicable fees. We support major credit cards, debit cards, and alternative payment methods as available through Stripe.

7.2 Stripe Connect Integration

GLINT utilizes Stripe Connect to facilitate secure, compliant transactions between buyers and sellers. This system provides:

  • Separate connected accounts for each seller with verified identities
  • True escrow functionality with funds segregation
  • Manual payout schedules that hold funds until transaction completion
  • Built-in fraud protection and dispute resolution
  • PCI compliance and secure data handling

7.3 Seller Account Setup

To sell on GLINT, sellers must complete Stripe Connect onboarding, which includes:

  • Identity verification and business information
  • Bank account details for payouts
  • Tax information and compliance documentation
  • Agreement to Stripe's Terms of Service

8. Connected Accounts and Seller Onboarding

8.1 Seller Verification Requirements

To sell on GLINT, all sellers must complete our comprehensive verification process, which includes:

  • Know Your Customer (KYC) identity verification through Onfido
  • Stripe Connect account creation and verification
  • Business information and tax documentation
  • Bank account verification for payouts
  • Agreement to seller terms and conditions

8.2 Stripe Connect Account Requirements

GLINT utilizes Stripe Connect Express accounts for all seller transactions. This provides:

8.5 Ongoing Compliance Requirements

Sellers must maintain compliance with:

  • Bank account and payout method verification
  • Compliance with anti-money laundering (AML) regulations
  • Response to any additional verification requests

8.6 Account Suspension and Appeals

GLINT reserves the right to suspend or restrict seller accounts that:

  • Fail to complete required verification processes
  • Provide false or misleading information
  • Violate marketplace policies or terms of service
  • Engage in suspicious or fraudulent activities
  • Fail to respond to compliance requests

Appeal Process:

Sellers may appeal account restrictions by contacting our support team with additional documentation or clarification. Appeals are reviewed within 5-7 business days, and decisions are based on compliance requirements and platform safety.

9. Escrow Services

GLINT provides true escrow services through Stripe Connect's manual payout schedule, ensuring funds are properly segregated and held until transaction conditions are satisfied. This is not mere accounting-based tracking but genuine fund segregation that complies with escrow regulations.

Fund Segregation: Buyer payments are transferred to the seller's separate Stripe Connect account, not held in the platform account

Regional Return Windows

UK/EU Professional Sellers

Buyers have a 14-day window to request returns/refunds when purchasing from professional sellers based in the UK or EU.

10.5 Digital Passport System

GLINT's Digital Passport System creates secure, blockchain-based NFT certificates for authenticated luxury items, providing immutable provenance records and digital ownership verification.

10.5.1 Digital Passport Creation

Automatic Minting Process

Upon successful transaction completion and buyer receipt confirmation, GLINT automatically mints a Digital Passport NFT.

10.5.2 Return Window Management

US Buyers

7-day return window (configurable per transaction)

Other Regions

Return window based on local consumer protection laws

10.5.3 Return Process and NFT Status

Active Status

Within the return window, Digital Passports remain in "active" status.

Return Initiated

When a return is initiated within the return window, the passport status changes to "returned".

  • • Return reason recorded immutably
  • • Escrow process initiated for refund

Burn Process (Optional)

In cases of fraud or disputed returns, GLINT reserves the right to permanently destroy the NFT.

  • • Metadata preserved for audit purposes
  • • Burn reason recorded in transaction logs
  • • Cannot be reversed once executed

Finalized Status

After the return window expires without return, passports are automatically finalized.

  • • No further status changes possible
  • • Passport becomes permanent digital certificate
